EVRYMAN MASTER SERVICES AGREEMENT
This Master Services Agreement (“Agreement”) is entered into by and between EVRYMAN QOZB LLC, a Delaware limited liability company (“EVRYMAN”), and the undersigned participant (“Participant” or “Client”). This Agreement governs all interactions with EVRYMAN, including participation in all programs, online groups, in-person retreats, coaching services, webinars, workshops, and membership activities (collectively, “Services”). By engaging with any EVRYMAN Service, the Participant agrees to the terms and conditions outlined in this Agreement.
1. Definitions and Scope
EVRYMAN refers to EVRYMAN QOZB LLC, its employees, contractors, agents, and volunteers (“Facilitators”). The Participant is any individual engaging with EVRYMAN Services, including but not limited to group experiences, workshops, in-person retreats, online community activities, and coaching sessions. Services are intended for personal growth and development purposes and are not therapeutic or medical in nature.
2. Fundamental Understandings
EVRYMAN does not provide healthcare, therapy, or legal advice, and Services are not substitutes for professional medical, psychological, or legal counsel. Participation in EVRYMAN Services does not create a therapeutic relationship, and individuals with acute psychiatric needs are advised to seek appropriate care. Services are open to individuals 18 years or older who possess the emotional and mental stability required for participation. EVRYMAN reserves the right to deny or terminate Services at its sole discretion.
3. Participant Responsibilities
The Participant is solely responsible for their well-being during and after engagement with EVRYMAN Services. Participants must disclose any relevant medical or psychological conditions, monitor their own physical and emotional states, and maintain appropriate boundaries. Participants agree to adhere to program guidelines, respect confidentiality, engage authentically, and avoid harassment, discrimination, or inappropriate behavior. Commercial activity, self-promotion, recording, or sharing of program content is strictly prohibited.
4. Risk Acknowledgment and Liability Release
The Participant acknowledges and assumes all risks associated with participation in EVRYMAN Services. Such risks may include but are not limited to emotional discomfort, physical injuries, environmental hazards, interpersonal conflicts, and changes in personal relationships or life circumstances. The Participant releases EVRYMAN, its employees, contractors, agents, and affiliates from any liability or claims related to personal injury, property damage, emotional distress, or negligence. The Participant further agrees to indemnify EVRYMAN for any claims arising from their conduct or violations of this Agreement.
5. Privacy and Confidentiality
EVRYMAN is committed to protecting Participant data in compliance with applicable privacy laws, including HIPAA and GDPR. Personal information collected will be securely stored and used solely for Service delivery. Participants agree to maintain the confidentiality of other Participants’ information, refrain from recording or documenting sessions, and participate from secure, private locations. Confidentiality may be waived if required by law, in cases of risk of harm, or when necessary for program safety.
6. Intellectual Property
All materials provided by EVRYMAN are its intellectual property and are licensed to Participants solely for personal use. Participants are prohibited from reproducing, distributing, or using EVRYMAN materials for commercial purposes without explicit permission. Participants retain ownership of their personal contributions but grant EVRYMAN the right to use de-identified information for training or documentation purposes.
7. Payment and Cancellation
All fees must be paid in advance of Service delivery. Fees are non-refundable except under the following conditions: cancellations made 60 or more days before the program start date will receive a full refund minus a 20% administrative fee; cancellations made between 30 and 59 days may receive a 75% credit toward future Services; cancellations made less than 30 days prior to the start date will not be refunded. EVRYMAN reserves the right to cancel or modify programs and will issue refunds or credits in such cases.
8. Dispute Resolution
All disputes arising from this Agreement must first be addressed through direct negotiation. If unresolved, the parties agree to mandatory mediation in the State of Delaware. If mediation fails, binding arbitration will follow under the rules of the American Arbitration Association. Arbitration will take place in Delaware, with decisions binding on all parties. Participants waive the right to bring class actions or collective claims.
9. Media Release
By participating in EVRYMAN Services, the Participant grants EVRYMAN and its agents, successors, licensees, and assigns the irrevocable right to record, photograph, film, or otherwise capture their image, likeness, voice, or contributions during the course of any program or event. The Participant agrees that EVRYMAN may use such recordings or images, in whole or in part, for training, promotional, marketing, educational, or other lawful purposes without further consent or compensation.
Participants understand that any use of recordings or images will be respectful of individual dignity and will primarily focus on promoting the mission and values of EVRYMAN. Participants further acknowledge that they have no ownership or proprietary rights in such recordings or images and waive any claims against EVRYMAN related to their use.
Participants may opt out of such recordings by notifying EVRYMAN in writing prior to the program or event. EVRYMAN will make reasonable efforts to honor such requests but cannot guarantee exclusion if the Participant is part of a group or public setting.
10. General Provisions
This Agreement constitutes the entire understanding between EVRYMAN and the Participant, superseding all prior agreements or representations. EVRYMAN may modify this Agreement with notice, and continued participation constitutes acceptance of any changes. If any provision is deemed invalid, the remaining terms will remain enforceable. This Agreement is governed by the laws of the State of Delaware.
11. Data Privacy Addendum
EVRYMAN collects and uses personal information, including identification details, health information, program participation records, and payment information, solely for Service delivery. All data is stored securely with access limited to authorized personnel. Participants have the right to access, correct, or request deletion of their data. EVRYMAN will not share or sell personal information without explicit consent except as required by law.
12. Acknowledgment and Signature
By signing below, the Participant confirms that they have read and understood this Agreement, are at least 18 years old, and agree to all terms and conditions. The Participant assumes all risks, releases EVRYMAN from liability, consents to data processing, and acknowledges that participation in EVRYMAN Services is not a substitute for therapy or medical treatment.
